Tesla Board Urges Investors to Re-Elect Musk Before December 3 Vote

Tesla‘s board is asking shareholders to vote FOR every proposal at the December 3 annual meeting, and it puts re-electing Elon Musk, Robyn Denholm and JB Straubel at the top of that ask.

In a shareholder letter filed with the SEC on Thursday, October 29, as definitive additional proxy materials, the board says Tesla has the building blocks for its next phase of growth but “must keep the leadership that has proven key to Tesla’s success.” The three Class I directors are the ones up for new three-year terms.

The letter is short and pointed. It asks investors to back all proposals on this year’s ballot, “most importantly” the Class I slate, and points them to VoteTesla.com for voting instructions ahead of the 3:00 p.m. Central Time meeting.

Musk is Tesla’s CEO and a founder. Denholm chairs the board, and Straubel is a founder who spent more than a decade at the center of Tesla’s technology work. The definitive proxy already recommended the same three votes: re-elect those directors, approve a non-binding say-on-pay on 2025 executive pay, and ratify PricewaterhouseCoopers as auditor for 2026.

Beyond the ballot, the board frames its case around products and supply chain. It cites Robotaxi expansion, Cybercab deployment, Optimus production and the Terafab chip push as reasons the current directors’ vision still matters, and it says the board has repeatedly shown it can build the factories and supply chain behind those bets.

Retail pressure around Tesla and SpaceX has been loud this fall. Thousands of shareholders recently pressed the board to move faster on a SpaceX combination, even though the December 3 ballot itself still has no merger vote.

Will you vote FOR the Class I slate before December 3?
