Tesla has confirmed that its 2024 Annual Stockholder Meeting will host a limited number of attendees in person due to capacity restrictions, similar to last year.

The meeting is scheduled to take place at Tesla’s headquarters located at 1 Tesla Road, Austin, Texas, at its Gigafactory in the city.

In an effort to distribute attendance opportunities fairly among its stockholders, Tesla will conduct a random drawing to determine who can attend the event physically. Stockholders interested in participating must enter the draw by 11:59 PM Central Time on Monday, May 13, 2024.

There are two major proposals for shareholders to vote on:

  • Ratification of the 2018 CEO Performance Award (Elon’s previously approved pay in 2018, but after a Delaware judge revoked it)
  • Bring Tesla Home to Texas (from Delaware)

Selected participants will be required to present valid government-issued identification to confirm their identity. It is important to note that these selections are non-transferable, and attendees must comply with the terms set forth in the 2024 Annual Stockholder Meeting Drawing Terms.

Notification of selection will begin in the week of May 20, 2024. Additionally, Tesla is providing an alternative for stockholders as of April 15, 2024, to join the meeting virtually. The virtual platform will include a livestream of the meeting, voting options, and the ability to submit written comments on agenda items.

To access the virtual meeting, stockholders will need a 16-digit secure control number. Stockholders of record can find this number on the Notice of Internet Availability or on their paper proxy card sent by Computershare Trust Company, N.A. Beneficial owners with shares held in street name should refer to their voting instruction form provided by their broker, bank, or nominee to find out how to obtain the control number either over the Internet or by telephone.

Instructions for voting via proxy or telephone will be included, eliminating the need for stockholders to return a proxy card or voting instruction form by mail.
